Terms of Service

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, and have the legal capacity to enter into a binding agreement. You may not use the Service if you are located in, or are a resident or citizen of, any jurisdiction where participation in a real money skill game or token based game is prohibited or restricted, or where doing so would violate applicable law. You are solely responsible for determining whether your use of the Service is lawful where you are.

2. The Service

Parlay lets you forecast the outcome of real world events across categories such as crypto, sports, macro and politics, and to compete against other players. Outcomes are scored on accuracy. During the preview, staking with the $PARLAY token may be disabled, simulated, or limited, and any balances, results, or rewards shown may be illustrative. We may add, change, suspend or remove markets, features, or mechanics at any time.

3. Wallets and accounts

You interact with the Service through a self custodial wallet that you control. We do not custody your assets, hold your private keys, or have the ability to move your funds. You are solely responsible for the security of your wallet, your seed phrase, and your devices. Any transaction you sign is final and irreversible. We are not responsible for losses arising from compromised wallets, lost keys, phishing, or user error.

4. The $PARLAY token

$PARLAY is a utility token used to play within the Service. It is not a share, security, deposit, or investment, it does not represent ownership of Parlay or any entity, and it is offered with no promise, representation, or expectation of profit, yield, or appreciation. The token supply is fixed. You should not acquire $PARLAY expecting financial return. Nothing in the Service constitutes an offer or solicitation to buy or sell any financial instrument.

5. Gameplay, staking and payouts

When staking is live, entering a market or room requires staking $PARLAY. Settlement is performed on chain. Each settled pool is distributed as 97% to the winning forecasters, 2% burned, and 1% to the protocol to cover operations. Predictions may be sealed using a commit and reveal scheme so that opponents cannot see your forecast before resolution. You are responsible for understanding the rules, resolution source, and resolution date of any market before you stake.

6. Market resolution

Each market specifies a resolution rule, a source, and a resolution date. Markets resolve according to those rules using the designated data source or oracle. Resolution may be delayed, disputed, or, in rare cases, voided where an outcome is ambiguous, where the source is unavailable, or where an event is cancelled or materially changed. We do not guarantee that any market will resolve at a particular time or in your favour.

7. Prohibited conduct

You agree not to: use the Service for money laundering, fraud, or any unlawful purpose; manipulate markets, exploit bugs, or use bots to gain an unfair advantage; attempt to access the Service from a restricted jurisdiction including through a VPN to evade geographic controls; reverse engineer, attack, or disrupt the Service or its infrastructure; or infringe the rights of others. We may restrict or terminate access for any violation.

8. No financial, legal or tax advice

The Service, including any market, probability, chart, or figure, is provided for informational and entertainment purposes only and is not financial, investment, legal, or tax advice. You are solely responsible for your decisions and for any taxes arising from your activity. Consult a qualified professional before making decisions.

9. Third party services

The Service relies on third parties including the Base network, wallet providers, data and price feeds, and oracles. We do not control and are not responsible for those services, their availability, accuracy, fees, or security. Your use of them may be subject to their own terms.

10. Intellectual property

The Parlay name, logo, interface, and original content are owned by Parlay or its licensors and are protected by applicable law. Subject to these Terms, you are granted a limited, non exclusive, non transferable, revocable licence to use the Service for its intended purpose. The smart contracts may be released under their own open source licence where indicated.

11. Disclaimer of warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, title, and non infringement. We do not warrant that the Service will be uninterrupted, secure, error free, or that markets, data, or resolutions will be accurate.

12. Limitation of liability

To the maximum extent permitted by law, Parlay and its contributors will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, tokens, data, or goodwill, arising from or related to your use of the Service, even if advised of the possibility. Our aggregate liability for any claim will not exceed the greater of the amount you paid to use the Service in the prior three months or one hundred dollars.

13. Indemnification

You agree to indemnify and hold harmless Parlay and its contributors from any claim, loss, liability, or expense, including reasonable legal fees, arising from your use of the Service, your violation of these Terms, or your violation of any law or third party right.

14. Suspension and termination

We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, including where required by law or to protect the Service or its users. On chain interactions you have already made remain subject to the smart contracts.

15. Changes to the Service and these Terms

We may modify the Service or these Terms at any time. Material changes will be reflected by updating the date above. Your continued use after a change constitutes acceptance of the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which the operating entity is established, without regard to conflict of law rules. Any dispute will be resolved by binding arbitration on an individual basis, and you waive any right to participate in a class action, except where such a waiver is prohibited by law.
